Governing Law; Dispute Resolution. The United Nations Convention on Contracts for the International Sale of Goods (1980) is hereby excluded in its entirety from application to this Agreement. Nothing in this section shall limit or restrict either Party from seeking injunctive or other equitable relief from a court of competent jurisdiction.
- (a) For Customers domiciled in England and the European Union except Spain: Shall be governed by and construed in accordance with the laws of the Realm of Spain, in compliance with Regulation (EC) No 593/2008 on the law applicable to contractual obligations (Rome I) and Directive 2008/52/EC on mediation in civil and commercial matters, without regard to conflict of law principles. Any disputes arising from or related to all Adonexus OÜ services or products shall be settled by confidential and binding arbitration in Madrid, Spain, in accordance with the Arbitration Law 60/2003 of Spain, administered by the Corte de Arbitraje de Madrid. The arbitration shall be conducted in Spanish, and the number of arbitrators shall be one. The arbitrator shall have substantial experience in resolving complex commercial disputes related to technology contracts. Arbitration rulings will be enforceable in accordance with Regulation (EU) No 1215/2012 (Brussels I Recast) on the recognition and enforcement of judgments.
- (b) For Customers domiciled in the United States of America and Spain: Shall be governed by and construed in accordance with the laws of England and Wales, in accordance with the Arbitration Act 1996 and Regulation (EC) No 593/2008 (Rome I) where applicable, without regard to conflict of law principles. Any disputes arising from or related to all Adonexus OÜ services or products shall be settled by confidential and binding arbitration administered by the London Court of International Arbitration (LCIA), in London, England, under LCIA Rules. The arbitration shall be conducted in English, and the number of arbitrators shall be one. The arbitrator will have significant experience in resolving complex technology contract disputes. Arbitration awards will be enforceable in accordance with the Arbitration Act 1996 and the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards (1958).
Any engagement of third parties for service provision must comply with the confidentiality terms set forth in the NDA agreement, ensuring the protection of sensitive information and adherence to applicable contractual obligations.
